Electricity
The Firm has an established Regulatory Practice with the Firm’s Partners appearing before the various State Electricity Regulatory Commissions, Central Electricity Regulatory Commission as well as the Appellate Tribunal and Supreme Court, having appeared in numerous landmark and reported decisions.
The Firm has handled matters and assignments in all spheres including tariff petitions for generating, transmission and distribution licensees, licensing requirements and compliances, proceedings for grant of licenses, transfer schemes for unbundling of electricity utilities under the Electricity Act, advising power exchanges and other online platforms in electricity trading, proceedings before regulatory commissions, civil courts and also arbitral tribunals for dispute resolution under agreements, drafting transactional documents such as Power Purchase Agreements including transborder power purchases, Transmission Service Arrangements, Trading Agreements, EPC Contracts etc.
Our clients include thermal generators in the public and private sectors including the largest thermal generator in India, distribution licensees of at least 10 States and Union Territories in the country, the Central Transmission Utility and the largest transmission licensee in India and also various State Transmission Utilities, renewable energy generators in all spheres including solar, wind, biomass, hydro, hybrid plants, biogas and waste to energy plants. The Firm also advises and represents on a regular basis various Regulators in the country.
Petroleum & Natural Gas
The Firm has substantial expertise and experience in the regulatory, commercial and legal aspects in the Petroleum and Natural gas sector. The Firm has represented and advised the Petroleum and Natural Gas Regulatory Board in important litigations before various courts and authorities.
The Firm also advises clients on issues involving transportation and supply of natural gas, CNG, RLNG, LNG. The Firm comprehensively advises on drafting, negotiations and implementation of gas supply and transportation contracts including dispute resolution and litigation.
The clients of the Firm include Authorised Entities for City Gas Distribution Networks, large consumers and also the Regulator.
Corporate & Insolvency Law
The Firm has wide experience in Company and Insolvency laws. The Firm has handled complex litigations before High Courts, the National Company Law Tribunal and Appellate Tribunal and the erstwhile Company Law Board and the Supreme Court of India.
The Firm has advised and handled schemes of amalgamations, de-mergers and other arrangements under the Companies Act, winding up petitions, suits alleging breach of fiduciary duties of directors, petitions alleging oppression and mismanagement, proceedings involving liability of directors and auditors etc.
The Firm has also advised on and handled proceedings under the Insolvency and Bankruptcy code on behalf of the Corporate Debtors, creditors, contractors of the Corporate Debtors, provision of essential services to Corporate Debtors.
Commercial Litigation & Arbitration
The Firm has extensive experience in international and domestic arbitrations in various sectors. Some of the areas include BIT disputes, FIDIC contracts, road construction contracts, ports, metro networks, hydroelectric power projects, oil and gas platforms, subsea oil and gas pipelines, civil construction contracts, EPC contracts, power projects, gas pipeline contracts, among others. The Firms Lawyers have been involved in ICC, LCIA, SIAC, UNCITRAL apart from ad hoc arbitrations under the Arbitration and Conciliation Act, 1996. The Firm represents several established infrastructure companies in arbitrations with respect to disputes arising from the construction of hydro-electric power projects, to pipeline contracts to metro networks to roads and bridges where claims ranging from Rs. 180 crores to Rs. 3000 crores are in dispute.
Telecom
We provide comprehensive advise and solutions on telecommunication and broadcasting issues. Our telecom practice includes advising on the compliance with the National Telecom Policy, information security and data privacy, regulatory reporting to the TRAI, dispute resolution on issues arising between telecom operators and VAS vendors and project contractors, advise and review on CAGR and revenue sharing with the Department of Telecom.
We partner with security and audit firms to provide solutions, including on security and fraud management systems, establishing preventive controls to avoid litigation in revenue assurance systems, vendor management etc.
Infrastructure
The Firm regularly advises clients with respect to issues arising out of Production Sharing Contracts, FIDIC contracts, vetting of bids and advising clients with respect to their rights under the RFQ and RFP. Drafting and preparation of Works Contracts, vetting of concessionaire agreements, vetting of BOT contracts, BOOT contracts, PPP contracts, Coal Mining Agreements, EPC Contracts as well as Joint Venture Agreements, Shareholders Agreements, Non Disclosure Agreements and related work.
